Terms of Service

These Terms of Service ("Terms") govern your use of the TAC Network platform, including the website at network.taccoalition.org and related services, including phone conversations with Maddie, TAC's AI-powered network connector (collectively, the "Service"). By using the Service, you agree to these Terms.
The Service is operated by Tokenized Asset Coalition, Inc., a Delaware nonprofit corporation ("TAC," "we," "us," or "our").

1. About the Service
The TAC Network helps professionals in the tokenization ecosystem connect with one another. Through the Service, you may:
- Speak with Maddie, an AI assistant who facilitates conversations on behalf of TAC
- Share information about your professional background, goals, and interests
- Be considered for introductions to other professionals in the TAC network
2. Your Consent
By using the Service, you consent to the following:
a. Recording and Transcription
Your phone conversations with Maddie will be recorded and transcribed. These recordings and transcripts will be used to operate and improve the Service as described in our Privacy Policy.
b. Data Extraction
We will extract structured data from your conversations (e.g., your professional goals, expertise, and connection interests) to build your profile and identify potential introductions.
c. Communications
You consent to receiving follow-up communications from TAC and Maddie via email, phone, SMS, Telegram, WhatsApp, or other messaging services. You may opt out at any time by replying "STOP," clicking unsubscribe, or contacting us at maddie@tacoalition.org.
3. Our Confidentiality Promise
We will use commercially reasonable efforts to maintain the confidentiality of your conversations with Maddie and the information you share through the Service.
a. Your Information Stays Within TAC
The contents of your conversations will not be intentionally shared outside of TAC without your consent. Your name, company, and identifying details will not be disclosed to third parties without your explicit opt-in.
b. Introductions Require Mutual Consent
If we identify a potential introduction, we will contact both parties separately. No identifying information will be shared until both parties have opted in.
c. Generalized Insights May Be Shared
We may share aggregated, de-identified information about network activity and trends. This information will never be attributed to you personally unless you have consented to an introduction.
d. Exceptions
We may disclose your information without consent if required by law, regulation, subpoena, or court order; to protect the rights, property, or safety of TAC, our users, or the public; or to enforce these Terms. Where permitted by law, we will make reasonable efforts to notify you prior to legally compelled disclosure. We will disclose only the minimum information required.
4. Acceptable Use
You agree not to:
- Provide false or misleading information
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service
- Use the Service to harass, abuse, or harm others
5. Intellectual Property
All content, features, and functionality of the Service are owned by TAC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TAC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TAC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
8. Indemnification
You agree to indemnify and hold harmless TAC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.
9. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
